In this Agreement, "HosteD" refers to the HosteD platform and its operators, owners, and authorised representatives. "Venue Partner" or "Partner" refers to the establishment, business, or individual applying to list their venue on the HosteD platform. "Platform" refers to the HosteD website, mobile application, and any associated digital services. "Booking" refers to any reservation made by a customer through the Platform for a visit to the Partner's venue. "Guest" refers to any customer who makes or attempts to make a booking through the Platform.
By submitting an application to list your venue on HosteD, you confirm that you are an authorised representative of the venue with full authority to enter into this Agreement on behalf of the business. HosteD reserves the sole and absolute right to approve, reject, suspend, or remove any venue listing at any time and for any reason, without obligation to provide justification. Approval of an application does not constitute a guarantee of continued listing on the Platform.
The Partner agrees to provide accurate, complete, and up-to-date information about their venue at all times, including but not limited to: venue name, address, contact details, opening hours, capacity, minimum spend, and service offerings. Any material change to this information must be communicated to HosteD within 48 hours of the change taking effect.
Upon receiving a booking notification from HosteD via SMS, WhatsApp, Zalo, or any other communication channel, the Partner agrees to contact the Guest within 10 minutes to confirm or decline the booking. Failure to respond within this window may result in the booking being automatically cancelled and the Guest being notified accordingly.
The Partner is solely responsible for managing table allocation, seating capacity, and the fulfilment of confirmed bookings. HosteD acts as a booking intermediary only and bears no liability for any failure by the Partner to honour a confirmed booking.
The Partner must update the booking status (confirmed, cancelled, or attended) within the HosteD Partner Dashboard promptly after each interaction with a Guest.
The Partner agrees to upload a copy of the official receipt or tax invoice for each Guest who attends their venue via a HosteD booking. This upload must be completed through the HosteD Partner Dashboard no later than 4:00 AM on the day following the visit (or by 4:00 AM on the same calendar day for bookings made after midnight). Receipts must clearly show the Guest's name, date of visit, items or services consumed, and the total amount charged.
This obligation exists for the purpose of commission calculation, revenue verification, and financial reconciliation between HosteD and the Partner. Failure to upload receipts within the required timeframe may result in estimated commission charges based on the minimum spend declared for the venue, at HosteD's sole discretion.
Repeated failure to comply with receipt upload obligations may result in suspension or permanent removal of the venue from the Platform, and may trigger an audit of historical bookings.
HosteD charges a commission on each completed booking as agreed in the separate Commission Schedule provided to the Partner upon approval. The commission rate is calculated as a percentage of the total spend recorded on the receipt or tax invoice uploaded by the Partner. HosteD reserves the right to revise commission rates with 30 days' written notice to the Partner.
Commission invoices will be issued by HosteD on a weekly or monthly basis as agreed. Payment is due within 7 days of the invoice date. Late payments may incur a penalty of 2% per month on the outstanding balance.
By listing on HosteD, the Partner grants HosteD a non-exclusive, royalty-free, worldwide, perpetual licence to use the Partner's venue name, logo, photographs, descriptions, menus, and any other content submitted to the Platform for the purposes of marketing, advertising, promotion, and editorial content across all channels and media, including but not limited to the HosteD website, mobile application, social media accounts, email campaigns, press releases, paid advertising, and third-party publications.
HosteD reserves the right to feature, promote, or de-prioritise any venue listing at its sole discretion, including through paid promotional placements, homepage banners, and curated collections. Promotional placement does not imply any endorsement beyond what is explicitly stated.
The Partner warrants that all content, images, and materials submitted to HosteD are owned by the Partner or that the Partner holds all necessary rights and permissions to grant the licence described above. The Partner indemnifies HosteD against any third-party claims arising from intellectual property infringement in submitted materials.
HosteD will share Guest booking details with the Partner solely for the purpose of confirming and fulfilling the booking. The Partner agrees to use Guest data only for this purpose and not to use it for unsolicited marketing, to sell it to third parties, or to retain it beyond the period necessary for the fulfilment of the booking and any related legal obligations.
The Partner acknowledges that HosteD may collect and process data about Guest visits, including geolocation-based visit verification, for the purposes of commission verification and platform integrity. This data is owned by HosteD and may not be requested or used by the Partner without express written consent.
The Partner agrees to maintain a standard of service consistent with the venue's listing on the Platform. Any Guest complaints relating to service quality, safety, or misrepresentation will be investigated by HosteD and may result in temporary suspension or permanent removal of the listing. HosteD reserves the right to publish or suppress Guest reviews at its sole discretion.
The Partner must ensure that their venue complies with all applicable laws and regulations in Vietnam, including but not limited to business licensing, health and safety standards, fire safety regulations, and alcohol service laws. HosteD bears no liability for any regulatory non-compliance by the Partner.
Either party may terminate this Agreement with 14 days' written notice. HosteD may terminate immediately and without notice in cases of fraud, material breach of this Agreement, non-payment of commissions, or conduct that HosteD determines to be harmful to the Platform's reputation or its users. Upon termination, the Partner's listing will be removed from the Platform and all outstanding commissions will become immediately due and payable.
HosteD's liability to the Partner under this Agreement is limited to the total commissions paid by the Partner to HosteD in the 3 months preceding the event giving rise to the claim. HosteD is not liable for any indirect, consequential, or loss-of-profit damages. HosteD does not guarantee a minimum number of bookings or any specific level of traffic to the Partner's listing.
This Agreement is governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from this Agreement shall be submitted to the exclusive jurisdiction of the courts of Ho Chi Minh City, Vietnam.
This Agreement, together with any Commission Schedule and any supplementary terms communicated in writing by HosteD, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings. HosteD reserves the right to amend these terms at any time with 14 days' notice to active Partners.
